These Terms & Conditions ("Terms") govern your use of Business Navigator (the "Service"), operated by Black 2 Black Consulting ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance

By creating an account or continuing to use the Service, you confirm that you accept these Terms and have the authority to enter into them (on your own behalf or on behalf of your organization).

2. The Service

Business Navigator provides AI-assisted tools to help founders define ideas, plan funding, and set up the operational foundations of their business. The Service is provided on an "as is" basis. We do not guarantee that it will be uninterrupted, error-free, or that outputs will be accurate or suitable for any particular purpose.

3. Acceptable Use

You agree not to misuse the Service. In particular, you must not:

• Use the Service for any unlawful, fraudulent, or harmful purpose;
• Send spam or attempt to defraud other users;
• Infringe intellectual property or other rights of any third party;
• Interfere with security, including by introducing malware, probing, or scraping;
• Reverse engineer, resell, or redistribute the Service without our written consent.

4. Accounts

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate information and keep it current.

5. Intellectual Property

We retain all rights, title, and interest in the Service, including software, documentation, and branding. You retain ownership of content you submit; you grant us a limited license to host and process it solely to operate the Service.

6. AI-Generated Outputs

The Service uses generative AI. Outputs may be inaccurate, incomplete, or unsuitable for regulated decisions (legal, tax, medical, financial). You are responsible for your prompts, for verifying outputs, and for ensuring you have the rights to any inputs you provide. We may filter, restrict, or refuse outputs and may suspend accounts that submit prohibited content (illegal material, hate speech, deepfakes, malware, jailbreaking attempts, etc.). 7. Payment and Subscription Terms

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, renewals, cancellations, and refunds are governed by Paddle's Buyer Terms.

8. Suspension and Termination

We may suspend or terminate access for material breach of these Terms, non-payment, security or fraud risk, or repeated policy violations. On termination, your right to use the Service ends; you may request export of your data within a reasonable window before deletion.

9. Warranties and Liability

To the fullest extent permitted by law, we disclaim all implied warranties (including merchantability and fitness for a particular purpose). Our aggregate liability is capped at the fees you paid for the Service in the 12 months preceding the claim. We exclude liability for indirect, consequential, or special damages (including loss of profits, data, or goodwill). Nothing in these Terms excludes liability for fraud, death, or personal injury where such exclusion is prohibited by law.

10. Indemnity

You agree to indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.

11. Changes

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the jurisdiction in which Black 2 Black Consulting is established, and disputes will be resolved in the competent courts of that jurisdiction.
